Wholesale Terms & Conditions

Welcome to the Viva Instruments UK Ltd wholesale programme. These Wholesale Terms & Conditions apply to all wholesale customers and govern access to wholesale pricing and the purchase of products from Viva Instruments UK Ltd ("Viva Instruments", "we", "us", "our"). By applying for a wholesale account or placing a wholesale order, you agree to these Terms.

1. Wholesale Account Application

• Access to wholesale pricing is available only to approved wholesale customers.

• To apply, you must complete and submit the official wholesale application form in full.

• Viva Instruments UK Ltd reserves the right to approve or decline any wholesale application at our sole discretion, without obligation to provide a reason.

• Approval does not guarantee ongoing access to wholesale pricing and does not create an exclusive relationship unless agreed in writing.

2. Wholesale Pricing & Minimum Order Requirements

• Wholesale pricing is visible only to approved wholesale customers who are logged into their account.

• To qualify for wholesale pricing, each order must meet the stated minimum order quantity (MOQ) and/or minimum order value.

• Orders that do not meet minimum requirements may be cancelled, adjusted to retail pricing, or held until requirements are met.

• Viva Instruments UK Ltd reserves the right to change wholesale pricing, MOQs, and minimum order values at any time without prior notice.

3. Orders & Payment

• All wholesale orders are subject to acceptance by Viva Instruments UK Ltd.

• Payment is required in accordance with the terms agreed at checkout or during account approval.

• We reserve the right to suspend or terminate wholesale accounts due to late payment, non-payment, or breach of these Terms.

4. Shipping & Delivery

• Shipping charges apply to all wholesale orders and will be calculated at checkout unless otherwise agreed in writing.

• Estimated delivery times are provided for guidance only and are not guaranteed.

• Risk of loss or damage passes to the wholesaler once the order has been dispatched from Viva Instruments UK Ltd.

5. International Orders, Taxes & Duties

• For international wholesale orders, the wholesaler is solely responsible for all import taxes, customs duties, VAT, GST, brokerage fees, and any other charges imposed by the destination country.

• Viva Instruments UK Ltd is not responsible for delays, additional costs, or rejected shipments resulting from customs clearance or local import regulations.

6. Returns & Claims

• Any issues with damaged, defective, or incorrect items must be reported within a reasonable time of delivery.

• Returns must be authorised in advance. Unauthorised returns will not be accepted.

7. Intellectual Property & Brand Use

• All trademarks, logos, product names, images, and marketing content remain the property of Viva Instruments UK Ltd.

• Approved wholesalers may use official brand assets solely to market Viva Instruments products and may not modify or misuse such assets.

8. Termination of Wholesale Account

• Viva Instruments UK Ltd reserves the right to terminate or suspend any wholesale account at any time, with or without notice, if these Terms are breached or at our discretion.

• Upon termination, access to wholesale pricing will be immediately revoked.

9. Limitation of Liability

• To the fullest extent permitted by law, Viva Instruments UK Ltd shall not be liable for any indirect, incidental, or consequential losses arising from wholesale purchases or use of our products.

10. Governing Law

• These Terms are governed by and construed in accordance with the laws of England and Wales.

11. Changes to These Terms

• Viva Instruments UK Ltd may update these Wholesale Terms & Conditions at any time. Continued use of a wholesale account constitutes acceptance of the updated Terms.
